Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of
Certain Officers.

On December 15, 2022, Annaly Capital Management, Inc. (the
“Company”) announced that the Board of Directors has appointed
Steven F. Campbell, the Company’s Chief Operating Officer, to the
additional office of President, effective immediately. As President
and Chief Operating Officer, Mr. Campbell will continue to
report to David L. Finkelstein, the Company’s Chief Executive
Officer and Chief Investment Officer, who previously held the role
of President from March 2020 until Mr. Campbell’s
appointment.
Biographical information for Messrs. Finkelstein and Campbell has
been previously reported in the Company’s 2022 Proxy Statement as
filed with the Securities and Exchange Commission on April 6,
2022.
A copy of the press release announcing these executive changes is
attached as Exhibit 99.1.
