Delaware corporation (the “company”, “we”, “us” or “our”) previously filed its definitive
proxy statement dated January 13, 2023 (the “Proxy Statement”) in connection with its special meeting to be held virtually

The purpose of this document is to supplement
the Proxy Statement with certain additional information as follows:
Inflation Reduction Act of 2022. Reference is made to
the Risk Factor in the Proxy Statement entitled “A new 1% U.S. federal excise tax could be imposed on us in connection with redemptions
by us of our shares.” The proceeds placed in the trust account and the interest earned thereon shall not be used to pay for possible
excise tax that may be levied on the company pursuant the Inflation Reduction Act of 2022 on any redemptions or stock buybacks by the
company.
Additional
Trust Disclosure. Based upon the current amount in the Trust Account, the Company estimates that the per-share price at
which public shares will be redeemed from cash held in the Trust Account will be approximately $10.28. Following the Extension, the Company
currently intends to keep the funds in the Trust Account invested inU.S. government securities, within the meaning set forth in Section
2(a)(16) of the Investment Company Act, with a maturity of one hundred eighty-five (185) days or less or in money market funds investing
solely in U.S. government treasury obligations and meeting certain conditions under Rule 2a-7 under the Investment Company Act.

from the company’s shareholders in respect of the special meeting and related matters. Information regarding the company’s
