Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On June 13, 2024, the Company announced that Maegan Markee, the Company’s Brand President, will be leaving the Company effective June 14, 2024. Ms. Markee did not leave the Company as a result of any disagreement with the Company concerning the Company’s operations, policies or practices.

 

In connection with Ms. Markee’s departure, the Company and Ms. Markee entered into a separation and release agreement (the “Separation Agreement”) providing for, among other things, (i) a separation payment to Ms. Markee of $1,450,000, and (ii) a release of claims from Ms. Markee. Pursuant to the Separation Agreement, Ms. Markee waived her rights to her outstanding restricted stock units and certain other compensation and benefits under her Change of Control Agreement with the Company, dated as of August 1, 2023.

 

The foregoing description of the Separation Agreement is qualified in its entirety by the text of the Separation Agreement, a copy of which will be filed as an exhibit to the Company’s quarterly report on Form 10-Q for the fiscal quarter ending August 3, 2024.
