3.01
On
January 5, 2023, we received notice from The Nasdaq Stock Market, Inc. (“Nasdaq”) that we are out of compliance with the
Nasdaq rules for continued listing (Listing Rules 5620(a) and 5810(c)(2)(G)) as a result of our failure to hold an annual meeting of
shareholders within twelve months of the end of our fiscal year ended December 31, 2021. Under the applicable Nasdaq rules, we now have
45 calendar days to submit a plan to regain compliance. We intend to submit a plan of compliance in response to the notice. If Nasdaq
accepts our plan of compliance, we may be granted an exception of up to 180 calendar days from our most recent fiscal year end, or until
June 29, 2023, to regain compliance.
We
intend to schedule an annual meeting of shareholders to take place prior to June 29, 2023.
