ITEM 8.01 OTHER EVENTS.

On or about December 29, 2023, First Merchants Corporation (the “Corporation”), through its issuing and paying agent, distributed notice of redemption of $40,000,000 in principal amount of its 6.75% Fixed-to-Floating Subordinated Notes Due 2028, dated November 1, 2013 (the "Subordinated Notes"). The redemption is permitted under the optional redemption provisions of the Subordinated Note Certificate representing the Subordinated Notes and will occur on January 30, 2024, the next interest payment date. Following the redemption, $25,000,000 in principal amount of the Subordinated Notes will remain outstanding.
