Rights
In conformity with the Financial
Conduct Authority's Disclosure Guidance and Transparency Rule
5.6.1R, the Company announces that, as at 31 May 2024, its issued
share capital comprises:

71,732,142,145 ordinary shares of nominal value
£0.00002 each ("Ordinary
Shares"). Each ordinary share carries the right to one vote
in relation to all circumstances at general meetings of SYME;
and
·
63,084,290 deferred shares of nominal value £0.04
each (the "Deferred
Shares") and 224,193,710 deferred shares of nominal value
£0.009998 each (the "2018 Deferred
Shares"), both in issue which carry de minimis economic participation
rights and do not carry the right to vote at general meetings of
SYME.
The total number of voting rights
attributable to the Ordinary Shares is 71,732,142,145. This figure
may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their
interest in, or a change to their interest in, the Company under
the Disclosure Guidance and Transparency Rules. Neither the
Deferred Shares nor the 2018 Deferred Shares carry any voting
rights.

The Company confirms that the gross
proceeds of £1,552,500 in connection with the New Equity Funding
defined in the announcement on 15 May 2024 has now been
received.

Notes:
SYME and its operating subsidiaries
provide its Platform for use by manufacturing and trading companies
to access inventory trade solutions enabling their businesses to
generate cashflow, via a non-credit approach and without incurring
debt. This is achieved by their existing eligible inventory being
added to the Platform and then monetised via purchase by third
party Inventory Funders. The inventory to be monetised can include
warehouse goods waiting to be sold to end-customers or
goods/commodities that are part of a typical import/export
transaction.
