Repurchase of Shares

Schroders plc (the "Company") announces that it will today commence a share repurchase for up to a maximum consideration of £20 million (the "Repurchase").

The Company has entered into an arrangement with Barclays Bank PLC, acting through its investment bank ("Barclays"), to conduct the Repurchase on its behalf. Shares acquired by Barclays under the arrangement will be purchased by Barclays as riskless principal and subsequently held in treasury by the Company, with the intention of those shares being used to satisfy awards under the Company's employee share schemes (or otherwise being cancelled, reducing the Company's issued share capital).

Any purchase of the Company's ordinary shares contemplated by this announcement will be executed in accordance with the Company's general authority to repurchase ordinary shares granted by its shareholders on 25 April 2024, the UK Market Abuse Regulation, the Companies Act 2006, and Chapter 9 of the Financial Conduct Authority's UK Listing Rules. The maximum number of shares to be acquired under the Repurchase is 128,515,118 and the Repurchase is expected to complete by 31 December 2024.

The Company will make further announcements in due course following any repurchase of shares.
