RAMBLER MEDIA SIGNS EXCLUSIVE AGREEMENT WITH ICQ / AOL TO PROVIDE 2 WAY SMS AND
INSTANT MESSAGING SERVICES IN RUSSIA

Moscow, Russia - December 29, 2005 - Rambler Media, an integrated media company
delivering internet, mobile and television services to the global
Russian-speaking community has today announced that it has signed an addendum to
its general agreement with ICQ® ("I Seek You"), a leading instant messaging
service provider owned by America Online, Inc., to provide 2 Way SMS and instant
messaging (IM) services.

The new ICQ 2 Way SMS service will enable ICQ Clients to create and send SMS
messages directly from their desktop to GSM users in the Russian Federation and
allow the mobile recipient to reply back directly to the ICQ Client.

Instant Message Forwarding will allow the ICQ Client to forward their instant
messages via SMS directly to their mobile phone and reply back directly to the
sender.

ICQ 2 Way SMS is the 2nd most used feature in ICQ and 12% of active users use
this service on a daily basis. There are currently 2.5 million active and 1.3
million daily ICQ Client users in Russia.

Rambler Media's Mobile Content Division, SMXCOM, will provide the technical
interface with ICQ, the billing platform and the GSM connectivity via their
existing contracts with GSM providers. SMXCOM currently covers 97% of the
estimated 119 million mobile users currently in Russia.
