ORB ESTATES PLC: RECOMMENDED PROPOSAL TO ACQUIRE ALL THE ISSUED
AND TO BE ISSUED SHARE CAPITAL OF GANDER PROPERTIES PLC BY WAY OF A
SCHEME OF ARRANGEMENT ("THE PROPOSAL") 

Further to the announcement of 11 August 1999, in which it was stated that 
the Proposal was pre-conditional upon Orb's #100 million
banking facility receiving final credit approval from the Royal
Bank of Scotland International Limited, the directors of Orb are
pleased to announce that final credit approval has been received
and, accordingly, the pre-condition has been satisfied.
