Hyder Consulting acquisition of Marcus Hodges Environment

9 September 2004 - Hyder Consulting, the international engineering design,
advisory and specialist management consultancy, announces the completion of its
acquisition of Marcus Hodges Environment. The Company's statement, issued to the
London Stock Exchange on 30 July 2004, had previously announced it had entered
into non-binding Heads of Terms to buy the firm, which is a prominent
environmental consultancy in the South West of England.

Consideration is a minimum of #1.80 million payable in cash and #0.05 million
payable by the issue of 33,520 new shares ("Consideration Shares"), with a
further #0.65 million payable in cash over the next three years dependent on
profit performance. The net assets acquired amount to #0.4 million.

Marcus Hodges Environment provides specialist services in environmental and
strategic planning, and contaminated land assessment and design. It has a strong
client portfolio in the South West of England that includes the Environment
Agency and Wessex Water. It employs around 40 people and its turnover in the
financial year to 31 March 2004 was approximately #2.0 million. Profits before
interest and tax were approximately #0.25 million.

development clients."

The acquisition is Hyder Consulting's second in the UK environmental sector over
the summer months, following the #0.5 million purchase of Ashact in July.
Application will be made for the Consideration Shares to be admitted to the
Official List of the UK Listing Authority and to trading on the London Stock
Exchange's market for listed securities. Admission is expected to become
effective on 14 September 2004.
