                                  ACQUISITION


                ACQUISITION OF RPA QUANTITY SURVEYORS LIMITED


The Company's subsidiary, Hyder Consulting (UK) Limited, has entered into an
agreement to acquire the entire issued share capital of RPA Quantity Surveyors
Limited (RPA). RPA offers a range of multi-disciplinary cost and project
management services primarily to the property sector. The purchase of RPA
includes the business formerly carried out by RPA Partnership and RPA Grove
Limited. The initial consideration for the acquisition amounts to #2.8 million
and is payable in cash. A further cash payment of up to #0.5 million is payable
over three years dependent on future business performance. Profit before
interest and tax for the consolidated business for the year to 30 April 2006 was
#0.55 million. The gross assets acquired are approximately #0.6m with net assets
of approximately #0.4 million. The acquisition provides Hyder Consulting with
new complementary skills and will expand its range of high value services in
this important market sector. The vendors, Ian Parfitt and Nicholas Soady, are
remaining with the business and will continue to lead RPA.
