HODDER HEADLINE PLC - DISCLOSURE OF INTEREST PURSUANT TO SECTION 198 OF 
THE COMPANIES ACT 1985

Pursuant to Section 198 of the Companies Act 1985 and further to our
notification of yesterday's date we are advised that WH Smith Group PLC is
interested in a total of 19,325,075 shares in Hodder Headline PLC.  To follow
is a copy of the Section 198 notice received from Linklaters & Paines on behalf
of WH Smith Group PLC after close of business on 2 June.  The interest in the
additional 999,504 shares relates to the irrevocable undertakings given by
certain directors of Hodder Headline PLC to WH SMith Group PLC prior to
announcement of the recommended offer by WH Smith Group PLC for Hodder Headline
on 24 May 1999.  These irrevocables are all dated 23 May 1999.

Section 198 Companies Act 1985 ("the Act")

On behalf of W H Smith Group PLC ("the Notifier") whose address is Nations
House, 103 Wigmore Street, London, W1H OWH, we hereby give notice pursuant to
Section 198 of the Act that:

(1)  This notification relates to, and the expression "share capital" used below
means, the ordinary share capital of the Company.

(2)  The number of shares comprised in the share capital in which the Notifier
knows that it was interested (for the purposes of Sections 208 and 209 of the
Act), immediately after the time when its obligation to make this notification
arose is 19,325,075.

(3)  The identities of the registered holders of the shares to which this
notification relates, and the number of shares held by such holders, are, so far
as known to us at the date of this notification, as follows:

(5)  So far as known to the Notifier at the date of this notification, our
interest in 99.504 of the shares to which this notification relates is such an
interest as is mentioned in Section 208(5) of the Act.
