(the "Company" or "GGG")
GGG's off-market takeover offer for Auzex Resources Limited -
information required in accordance with ASX Listing Rule 3.4.1
Further to the announcement dated 26 August 2011, GGG Resources
plc's (GGG) original off-market takeover offer for all of the
ordinary shares in Auzex Resources Limited (Auzex) (the Offer)
closed at 5.00pm (Perth time) on 5 September 2011. This has no
effect on the all share merger between GGG and Auzex announced on
30 August 2011.
The conditions set out in section 1.10(a) of Annexure A of the
bidder's statement issued to Auzex security holders in relation to
the Offer were not fulfilled, and GGG did not declare the Offer
free from those conditions during the offer period. Accordingly,
all contracts resulting from the acceptance of the Offer are
void.
Attached is a notice setting out the information required under
ASX Listing Rule 3.4.1.
