FREESERVE PLC (the "Company")

We hereby notify you pursuant to Core Rule 2.13 of the Rules of the London
Stock Exchange that we are intending to act on behalf of the stabilising
manager with respect to an offering of shares in the Company.  We request you to
publish a statement, in such manner as you may determine, that stabilising
transactions may be made during the stabilisation period indicated below.

For the purposes of Rule 2.13 we hereby notify you as follows:-

I)   The securities concerned are ordinary shares of nominal value 0.01 pence in
     the Company ("Ordinary Shares").

II)  In addition, American Depository Shares ("ADSs") each representing 10
     Ordinary Shares may be stabilised.

III) The stabilising manager is Credit Suisse First Boston (Europe) Limited
     (Contact: Crispin Osborne, Tel 0171 888 1686).

IV)  Stabilising transactions may occur from 14:30 hours, July 26th, 1999 until
     September 1st, 1999 (inclusive) or such earlier date as may be notified.

V)   The issue price of the Ordinary Shares is 150 pence per Ordinary Share.
     The issue price of the ADSs is US$ 23.67 per ADS.

VI)  Stabilisation may occur on the Nasdaq National Market, London Stock
     Exchange or otherwise.
