            Court sanctions Scheme and confirms Reduction of Capital


The board of Arla Foods UK is pleased to announce that in connection with the
recommended acquisition of Arla Foods UK by Arla Holding, court approvals were
duly given at the Scheme Court Hearing on 2 April 2007 and the Reduction Court
Hearing on 4 April 2007.

The Scheme is expected to become effective on 5 April 2007 following the
delivery of the Scheme Court Order and the Reduction Court Order to the
Registrar of Companies and the registration by the Registrar of Companies of the
Reduction Court Order. It is expected that trading in the Arla Foods UK Shares
on the London Stock Exchange will be cancelled at 8.00 a.m. (London time) on 5
April 2007.

On the basis of the timetable set out in the scheme document posted to Arla
Foods UK Shareholders on 15 February 2007 (the "Scheme Document") and in
consideration for the cancellation of their Arla Foods UK Shares, shareholders
on Arla Foods UK 's share register at 6.00 p.m. (London time) on 4 April 2007
will receive 71 pence in cash for each Arla Foods UK Share held. Any cash
consideration due to holders of Arla Foods UK Shares held in uncertificated form
will be paid via CREST and any cheques in respect of any cash consideration due
to holders of Arla Foods UK Shares held in certificated form will be despatched
no later than 19 April 2007.

Terms used in this announcement shall have the same meanings as set out in the
Scheme Document.
