Final terms dated 7 May 2008 (the "Final Terms") relating to USD 75,000,000
Floating Rate Instruments due May 2009 issued by Westpac Banking Corporation
(ABN 33 007 457 141) under the Programme for the Issuance of Debt Instruments of
Westpac Banking Corporation and WestpacTrust Securities NZ Limited (acting
through its London branch) and unconditionally and irrevocably guaranteed by
Westpac Banking Corporation in the case of instruments issued by WestpacTrust
Securities NZ Limited (the "Programme").
