                    Result of Extraordinary General Meeting


At the Extraordinary General Meeting of the Company, which took place earlier
today, the resolutions put to shareholders in order to effect the Firm Placing
and Placing and Open Offer, announced on 29 October 2003, were duly passed.


The Firm Placing and Placing and Open Offer remain conditional upon admission of
the New Ordinary Shares to the Official List of the UK Listing Authority and to
trading on the London Stock Exchange's markets for listed securities
("Admission"). It is expected that Admission and dealings in the New Ordinary
Shares will occur by 8.00 a.m. tomorrow, 25 November 2003.
