Results of Extraordinary General Meeting and additional listing

Result of Extraordinary General Meeting: On 28 October 2003 Spring Group plc
("Spring" or the "Company"), announced the disposal of its IT training business
("Spring IT Training") to Vidyah Inc., a related party. The disposal was
subject to approval by Spring's independent shareholders at the Extraordinary
General Meeting, which was held earlier today. The resolution put to the
shareholders of the Company to approve the disposal was duly passed at the
meeting. As a consequence, the disposal of Spring IT Training is expected to
complete on Monday, 17 November 2003.
Additional Listing: Application has today been made for the admission of
4,211,421 new ordinary shares of 10p each in Spring (the "New Spring Shares"),
to the Official List of the UK Listing Authority and to trading on the London
Stock Exchange.
The New Spring Shares are being issued pursuant to requests by Intermediate
Capital Group Plc, and Intermediate Capital Limited (together "ICG") to convert
#3.0 million, being all of the convertible unsecured loan stock of Spring into
New Spring Shares. The convertible unsecured loan stock was issued to ICG as
part of the consideration payable, by the Company, for the acquisition of the
trading subsidiaries of Best International Group plc in June 2003.
The New Spring Shares will rank pari passu in all respects with the existing
ordinary shares of 10p each in the Company and it is expected that trading in
the New Spring Shares will commence on Monday, 17 November 2003.
