Grant of Share Options under the Sharesave Scheme
On 28 September 2023, the Company granted options over ordinary
shares of 10 pence each in the Company under the Cohort plc 2016
Savings Related Share Option Scheme (SAYE) to Andrew Thomis, Chief
Executive, and Simon Walther, Finance Director, as follows:

The SAYE options are made pursuant to three-year savings
contracts and the exercise price, which is discounted by
approximately 20%, is based on the share price at close of business
on 22 August 2023, being the dealing day immediately prior to the
date of invitation to apply for options.
