Exercise
of Warrants and Issue of Shares
Vinanz Limited (London AQSE: BTC and
US OTCQB: VINZF), the London listed Bitcoin
mining company focusing on decentralised deployment of Bitcoin
mining clusters in multiple data facilities throughout the US and
Canada, announces that it has received notice from
a warrant holder to
exercise warrants over 2,500,000 ordinary shares of no par value in
the Company ("Ordinary Shares") at an exercise price of 1p per
Ordinary Share ("New Ordinary Shares"). As a result, the
Company will issue 2,500,000 New Ordinary Shares to the exercising
warrant holder.
Application will be made for the New
Ordinary Shares, which will rank pari passu with the existing
Ordinary Shares in issue, to be admitted to trading on the AQSE
Growth Market ("Admission"). Dealings are expected to commence on
or around 12 July 2024.
Total Voting Rights
Following Admission, the Company's
total issued and voting share capital will consist of 162,767,707
Ordinary Shares. The Company does not hold any ordinary shares in
treasury.
The above figure may be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in, the Company's issued share capital,
pursuant to the Company's Articles.
