OFFERS FOR SHARES IN THE SCOTTISH NATIONAL TRUST PLC ('SNT')
AND PLACING

1.   OFFERS WHOLLY UNCONDITIONAL AND CLOSED

     The  boards  of  Abpref and Abpref Securities  announce
     that  the  Offers  for  shares in  SNT  have  all  been
     declared  unconditional in all respects, save  for  the
     admission  of  the new Abpref Group Securities  to  the
     Official  List becoming effective ('Admission')  (which
     is expected to take place on 27th August 1998).  On the
     announcement by the London Stock Exchange of Admission,
     the Offers will become unconditional in all respects.

     The  Offers closed for acceptance at 3.00 p.m. on  20th
     August 1998.

2.   ACCEPTANCES

(a)  By 3.00 p.m. on 20th August 1998 valid acceptances had
     been received in respect of SNT shares as follows:

(b)  The  above acceptances include acceptances from persons
     presumed to be acting in concert with Abpref and Abpref
     Securities   in  respect  of  2,231,417   SNT   stepped
     preference shares and 450,000 SNT income shares.

(c)  Prior  to  the offer period Abpref and persons presumed
     to   be  acting  in  concert  with  Abpref  and  Abpref
     Securities held 1,450,000 SNT income shares  (0.91%  of
     the  class) and 2,231,417 SNT stepped preference shares
     (6.99% of the class).

3.   FURTHER ANNOUNCEMENT

     A further announcement will be made as soon as possible
     concerning  inter alia the Formula Asset Value  of  the
     SNT  Capital Shares and details of the enlarged capital
     of Abpref and Abpref Securities.

4.   Terms  used in this announcement bear the same meanings
     as in the Offer Document.
