Notification of transactions by persons discharging
managerial
responsibility or connected persons.
The following actions have been made in connection with a
matrimonial matter in respect of John Campion, CEO, APR Energy
plc.
APR Energy plc was notified on 11 November 2013 by John Campion,
a director of APR Energy plc, and by Laurence Anderson, a person
discharging managerial responsibility within APR Energy plc, that
on 8 November 2013, JCLA Cayman Limited, a company which is
majority owned by John Campion and Laurence Anderson, transferred
to its affiliates and owners 1,735,000 Ordinary Shares in APR
Energy plc. Subsequently, 1,700,300 shares were sold at an average
gross price of GBP11.00 per share, which relate to the beneficial
holding on behalf of John Campion and Laurence Anderson.
As a result of the sale referred to above, the percentage of the
total voting rights in APR Energy plc held by JCLA Cayman Limited
fell on 8 November 2013 from 9.3% to 7.5% - for further details
please see the TR1 notification received from JCLA Cayman
Limited.
Furthermore, JCLA Cayman Limited has entered into a share
trading plan which will allow for approximately 5% of its residual
holding, which equates to a maximum of 355,000 shares, to be sold
during the next twelve months. Following completion of the share
trading plan, JCLA Cayman Limited will have a residual holding in
excess of 7% and has no intention to sell any further shares in the
near term.
In addition, APR Energy plc was also notified on 11 November
2013 that on 8 November 2013 that Matthew Allen and Edward Hawkes,
both directors of APR Energy plc, sold 563,224 and 416,113 shares
respectively, at an average gross price of GBP11.00 per share.
This notice is given by APR Energy plc in fulfilment of the
obligation under DTR 3.1.4(1)(a) R and of the obligation under DTR
5.8.12(1) R.
