Vesting of Executive Powers BOLOGNA, Italy, May 2 /PRNewswire-FirstCall/ -- Pursuant to Article 114 of Legislative Decree no. 58 of February 22, 1998 (as amended), and of Article 66 of the Regulation adopted by Consob pursuant to resolution no. 11971 of May 14, 1999 (as amended) and of Article IA2.9.7 of the Instructions accompanying the Rules of the Markets organized and managed by Borsa Italiana S.p.A. During the meeting of the Board of Directors of Ducati Motor Holding S.p.A. (Borsa Italiana: DMH; NYSE: DMH) held today, Mr. Roberto Maestroni resigned his position as a director of the Company. The Board of Directors resolved to coopt Mr. Gabriele Del Torchio to fill the vacant position and vested Mr. Gabriele Del Torchio with executive powers related to the coordination of the Company's development strategies in coordination with the Company's Board of Directors and senior management. During the meeting of the Board of Directors of Ducati Motor Holding S.p.A. held on May 2, 2007, Mr. Roberto Maestroni resigned his position as a Director of the Company. Mr. Roberto Maestroni, formerly a non-executive director, resigned for personal reasons and the Board of Directors resolved to appoint by co-option Mr. Gabriele Del Torchio as a Director of the Company and to vest him with executive powers related to the coordination of the Company's development strategies. As of the date of his resignation, Mr. Roberto Maestroni held no shareholdings in Ducati Motor Holding S.p.A. and in its subsidiaries. Mr. Gabriele Del Torchio accepted the appointment and, in light of the executive powers delegated to him, qualifies as an executive director of Ducati Motor Holding S.p.A. Mr. Gabriele Del Torchio's curriculum vitae is available at the Company's registered office. As of the date of his appointment, Mr. Gabriele Del Torchio held no shareholdings in Ducati Motor Holding S.p.A. and in its subsidiaries.
