(OTC Pink Sheets: VATA) today jointly announced the successful completion of the previously announced tender offer for all outstanding shares of Versata at a price of $0.40 net per share in cash. The tender offer expired at 12:00 midnight, Eastern Standard Time, on Jan. 17, 2006. The depositary for the tender offer has advised Trilogy that, as of the expiration of the tender offer, approximately 6,676,036 shares (including 68,197 shares that were tendered pursuant to guaranteed delivery procedures) were validly tendered and not withdrawn in the tender offer. This represented in excess of 81 percent of Versata's issued and outstanding shares. All validly tendered shares have been accepted for payment in accordance with the terms of the tender offer.
