Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 
On January 29, 2009, Dr. Michael Shen resigned as a director of Wellstar International, Inc. (the “Company”).  There is no disagreement known to any executive officer of the Company between the Company and Dr. Shen on any matter relating to the Company’s operations, policies or practices.
