Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

At a special meeting of the shareholders on February 18, 2010, a majority of the shareholders voted to appoint Michael Black as Chief Financial Officer of the Company.

A majority of the shareholder's futher voted to increase the number of authorized shares of the company's common stock, par value $.001, to 200,000,000 shares.
