ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES

On January 14, 2009, Royalite Petroleum Company Inc. (the “Company”) completed a private placement of 1,200,000 shares at a price of $0.25 per share for gross proceeds of $300,000. The offering was made to two accredited investors pursuant to Rule 506 of Regulation D of the Securities Act of 1933. The proceeds of the private placement will be used for working capital purposes.
