Item 8.01 Other Events.
On January 19, 2024, GrowLife, Inc. (the
“Company”) received a copy of a lawsuit filed by Coventry Enterprises, LLC (“Coventry”), in the Superior
Court of State of Delaware. Coventry filed suit against the Company alleging that the Company has defaulted under that certain
Promissory Note dated November 9, 2022 for failure to make payments. Coventry has alleged that as a result of Company’s
breaches of the Note, Coventry has suffered and continues to suffer damages in an amount not less than $265,811.61.
The Company is engaging in settlement
discussions with Coventry and otherwise intends to file an answer to the complaint.
