Pacific Coast National Bancorp (the “Company”) was unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2009 within the prescribed time period because the Company has not yet filed its Quarterly Report on Form 10-Q for the quarter ended March 31, 2009.  The Company’s independent registered public accounting firm is continuing to evaluate the level of the Company’s allowance for loan losses as of March 31, 2009 in light of updated information that has recently become available concerning certain of the Company’s problem loans .

It is anticipated that the Company’s net losses for the three and six months ended June 30, 2009 will be substantially greater than the net losses incurred for the same periods of 2008.  A reasonable estimate of the losses for the 2009 periods currently cannot be made, however.  As noted above, the Company’s independent registered public accounting firm is continuing to evaluate the level of the Company’s allowance for loan losses as of March 31, 2009 in light of updated information that has recently become available concerning certain of the Company’s problem loans.  As a result, the amounts of the provisions for loan losses for the quarters ended March 31, 2009 and June 30, 2009 and, consequently, the amounts of the Company’s net losses for the three and six months ended June 30, 2009, are currently unknown .
