Explanation of Responses:
( 1)  Expert Venture Limited directly owns 6,996,420 shares of common stock of Deyu Agriculture Corp. ("Deyu"). By virtue of Mr. Ding's 60% ownership in Expert Venture Limited, Mr. Ding indirectly owns and may be deemed the beneficial owner of 4,197,852 shares of common stock of Deyu that is directly owned by Expert Venture Limited. Such shares were purchased from Hong Wang.
( 2)  Mr. Ding was granted options to purchase (i) 15,000 shares of common stock in Deyu in 2010, 33.3% of which vested and became exercisable in December 2012, 33.3% of which vested and became exercisable in November 2013 and 33.3% of which vested and became exercisable in November 2014, and (ii) 40,000 shares of common stock, half of which vested and became exercisable in September 2012, and half of which vested and became exercisable in March 2013.
