ITEM 8.01    Other Events.

On November 14, 2008, the Board of Directors of American CareSource Holdings, Inc. (the “Company”) unanimously approved an increase in the number of shares available for grant under the Company’s Amended and Restated 2005 Stock Option Plan from 3,249,329 shares to 3,749,329 shares, subject to the approval of the Company’s stockholders at the next annual meeting of stockholders, which is to be held in 2009.
