( 1)  The shares of common and preferred stock reported on this Form 3 are beneficially owned by 2340960 Ontario Inc. (which owns 1,412,619 shares of the issuer's common stock and 10,000,000 shares of the issuer's preferred stock), 37.5% of whose shares are owned by The John Bentivoglio Family Trust (the "Trust") of which the Reporting Person is one of three trustees. The Reporting Person disclaims beneficial ownership of the shares beneficially owned by the Trust.
