Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 19, 2012, the Board of Directors
(the “Board”) of China Sun Group High-Tech Co. (the “Company”) accepted the resignation of Ming Fen Liu
as the Chief Financial Officer at the Company, effective immediately. Ms. Liu’s resignation was due to personal
reasons and not because of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
