On
December 6, 2021, Cannagistics, Inc. (the “Company”), finalized the appointment of Jim Morrison, 62, as the Company’s
Chief Executive Officer and President, effective immediately upon the resignatikon of employment of Rob Gietl, the then Chief Executive
Officer. Mr. Morrison was appointed to the Company’s Board of Directors in November 2021.
Mr.
Morrison’s biographical information as required by Item 401(b) of Regulation S-K, and business experience as required
by Item 401(e) of Regulation S-K was previously disclosed in the Company’s Current Report on Form 8-K filed
on November 10, 2021.
In
connection with the appointment of Mr. Morrison, effective December 6, 2021, Rob Gietl resigned as President, Chief Executive Officer
and director of the Company.

On
February 2, 2021, the Supreme Court of the State of New York, County of Suffolk entered an order granting summary judgment to Jeffrey
Gates, the plaintiff, against Cannagistics, Inc., a Nevada corporation, which is a subsidiary of the Company, and James Zimbler, our
Vice President of Operations and former director, the defendants (Index No. 602019/2020), for $151,712.
