Goldstrike Resources Ltd. (TSX VENTURE:GSR)(PINKSHEETS:APRAF)(FRANKFURT:KCG1) is
pleased to announce that it has raised $1,477,875.30 by way of non-brokered
private placement on the following terms pursuant to arrangements with Aberdeen
Gould Capital Markets Ltd., an Exempt Market Dealer:




  750,000 units at the price of $0.75 per unit to raise gross proceeds of 
  $562,500.00. Each unit will be comprised of one flow-through common     
  share and one non-flow-through common share, with $0.40 of the          
  subscription price allocated to the flow-through share and the other    
  $0.35 of the subscription price allocated to the non-flow-through share.
                                                                          
  2,615,358 units at the price of $0.35 per unit to raise gross proceeds  
  of $915,375.30. Each unit will be comprised of one common share and one-
  half of a share purchase warrant. Each full warrant will entitle the    
  holder to purchase one additional common share at the price of $0.80 for
  a period of two years after Closing, subject to acceleration at the     
  Company's option if its shares close at $1.20 or higher for ten (10)    
  consecutive trading days at any time after four months after Closing.   



The net proceeds from the financing will be used to fund the Company's 2012
exploration program on its Yukon mineral properties, including a drilling
program, and for general working capital. The Company has agreed to pay finder's
fees in respect of the financing, in cash and securities, in accordance with the
policies of the TSX Venture Exchange. The proposed private placement and
finder's fees are subject to TSX Venture Exchange acceptance. All shares issued
pursuant to the offering, and any shares issued pursuant to the exercise of
warrants, will be subject to a four-month hold period from the Closing date.
