Compliance Energy Corporation ("Compliance" or the
"Company") intends to complete a private placement of up to
16,000,000 common shares at a price of $0.025 per share, to raise gross proceeds of
approximately $400,000 (the "Private
Placement"). The proceeds from the Private Placement will be
used in connection with the Company's Raven Project and working
capital. The Private Placement, including the pricing, are
subject to the approval of the TSX Venture Exchange. The
shares will be subject to a four month hold period.
