DICOM Group plc: Board Changes
DICOM Group plc ("DICOM Group", "the Company" or "the Group"), a global leader
in the Electronic Document Capture ("EDC") market, announces that John Alexander
has been appointed as a non-executive Director with immediate effect. John
Alexander, aged 44, has 22 years experience working as an investment manager in
the City of London. He specialised in the UK Smaller Company Sector, latterly
working at Henderson Global Investors between 1992 and 2002.
At the same time, DICOM Group announces the retirement from the Board of two
non-executive Directors, John Incledon, aged 65, and David Silver, aged 45. John
Incledon will continue to focus the majority of his attention on IDJ Limited, a
corporate finance firm in London, of which he is Chairman, whilst David Silver,
who co-founded Kofax Image Products, Inc. in 1985, will pursue a number of
private interests.
John Incledon joined the Company's Board on 7 December 1997. He had worked with
DICOM Group since 1995, when IDJ successfully completed a private placing as a
prelude to the Company's flotation on AIM.
David Silver joined DICOM Group's Board on 22 October 1999, at the time of the
acquisition of US-based Kofax Image Products, Inc. This acquisition established
the enlarged Group as a major player in the EDC market. David Silver was CEO of
Kofax up to July 2000 before stepping down and being succeeded by Arnold von
Buren, DICOM Group's present CEO.
Commenting on the appointment of John Alexander, Otto Schmid, Chairman of DICOM
Group, said:
"We are very pleased that John Alexander has accepted the offer to join the
Group, contributing with his extensive UK fund management experience in the
technology sector."
Commenting on the retirements of John Incledon and David Silver, Otto Schmid
said:
"The contributions of both John and David have been substantial and I would like
to record the thanks of all connected with the Group. I would personally like to
thank John Incledon for the sage advice he has given to me and our team, prior
to and through our flotation in London, and over a significant number of
acquisitions and numerous other corporate developments since 1995. His patience
and sense of humour are second to none and his experience has been invaluable.
We wish him every success in the future."
"When John Incledon joined us, we employed some 70 people and were mainly a
Swiss company whose business was distribution of third party EDC products. Today
we employ more than 800 people worldwide, with an extensive portfolio of
intellectual property, products and services."
"The Board also wishes David Silver well. From the creation of Kofax in 1985, he
developed the key technologies Adrenaline, VRS and Ascent Capture, which form
the basis of our current products. Following the acquisition he helped
successfully integrate Kofax into the Group and the team that he built has
continued to develop the business into the largest player in the industry in the
United States, providing a wide range of products for the 2 billion dollar EDC
market."
