Explanation of Responses:
(1) The Board of Directors (the "Board") of WPX Energy, Inc. (the "Company") approved the accelerated vesting, effective as of December 31, 2020, of 26,634 shares of time-based restricted stock previously granted to the Reporting Person which originally were scheduled to vest on March 2, 2021. The Board approved the accelerated vesting in order to mitigate potential adverse tax consequences to the Company and the Reporting Person of Section 280G of the Internal Revenue Code, as amended, in connection with the Company's merger with Devon Energy Corporation. The reported disposition represents shares withheld to satisfy withholding tax obligations due upon the accelerated vesting of restricted stock.
