Explanation of Responses:
(1) Represents number of performance stock units earned in respect of the one-year performance period under the 2019 MICP PSU program (the "PSUs"). The PSUs are issued pursuant to the Stanley Black & Decker 2018 Omnibus Award Plan, and generally vest in three equal installments subject to satisfaction of service-based conditions on each applicable vesting date. Each PSU represents a contingent right to receive one share of Issuer's common stock.
(2) Represents number of shares withheld in satisfaction of tax withholding with respect to 1/3rd of the PSUs.
(3) Represents shares held for the reporting person under the Company's 401(k) Savings Plan as of the last day of the previous calendar month including shares acquired or disposed of on various dates since balance was last reported.
(4) Aggregate number of shares held in ESPP as of the last day of the calendar month that ended at least 10 days prior to the date of this report, including shares acquired or disposed of on various dates since balance was last reported.
