Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 
 
 
Christopher W. Jamroz, who has been a director of Roadrunner Transportation Systems, Inc. (the “Company”) since May 2019, is assuming a new leadership role at the Company as Executive Chairman of the Board of Directors.
In addition to the announcement of Mr. Jamroz’s new leadership role, the Company also announced that on April 9, 2020, James D. Staley, who had been a director of the Company since October 2010 and was previously Chairman of the Board, departed from the Company as a director. Mr. Staley’s departure was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
