LONDON--Pearson PLC (PSON.LN), a education and business information company, said Thursday that it is discussing with Bertelsmann a possible combination of Penguin and Random House.

MAIN FACTS:

-The two companies have not reached agreement and there is no certainty that the discussions will lead to a transaction.

-Shares at 1605 GMT unchanged at 1212 pence, valuing the company at GBP9.8 billion.
