(1) The securities reported herein are held by (i) Highbridge Tactical Credit Master Fund, L.P., a Cayman Islands exempted limited partnership ("HTC") and (ii) Highbridge SCF Special Situations SPV, L.P., a Cayman Islands exempted limited partnership ("SCFS" and together with HTC, the "Highbridge Funds"). Highbridge Capital Management, LLC ("HCM") serves as the trading manager of the Highbridge Funds.
(2) The filing of this statement shall not be deemed an admission that the Reporting Person is the beneficial owner of the securities reported herein for purposes of Section 16 of the Securities Act of 1934, as amended, or otherwise.
