Explanation of Responses:
( 1)  The reporting person has received an award of Deferred Stock Units ("DSUs") under the Patriot Coal Corporation (the "Company") 2007 Long-Term Equity Incentive Plan. DSUs represent the right to receive shares of the Company's common stock upon the earlier of (i) the termination of service as a director of the Company or (ii) the third anniversary of the grant date or a different date chosen by the non-employee director, provided such date was chosen by the non-employee director prior to January 1 of the year in which such director received the grant. DSUs will fully vest on January 2, 2010 if the reporting person served as a director for the entire one-year period between the date of grant and such vesting date, or they may vest earlier if the reporting person ceases to be a director of the Company due to death or disability, or if a change in control occurs.
