On February 20, 2020, Mr. Eugene Davis
resigned from the board of directors of EES GP, LLC, the general partner of Emerge Energy Services LP (the “Partnership”).
Mr. Davis’s resignation was not a result of any disagreement with the Partnership regarding any matter related to its operations,
policies or practices.
