On March 18, 2020, Anixter
International Inc., a Delaware corporation, issued a press release announcing that, due to the emerging public health impact of the coronavirus (COVID-19) pandemic, the location of Anixter’s special meeting of stockholders has been changed and will
be held in a virtual meeting format only. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The press release contains forward looking statements that should be read together with the
