Explanation of Responses:
(1)  The 10,000 shares of common stock purchased by the reporting person on August 14, 2019 are a matching transaction under Section 16 of the Securities Exchange Act of 1934, as amended, with 1,005 shares of common stock sold by the reporting person on June 5, 2019 for $18.696 per share, which had been sold by the reporting person to cover the tax liability upon vesting of restricted shares. In accordance with Section 16, the reporting person has voluntarily disgorged to the issuer an aggregate short-swing profit of $8,186.73.
