Explanation of Responses:
(1) On July 1, 2021, in connection with the acquisition of the Issuer by Greysbridge Holdings Ltd. ("Greysbridge"), Arch Reinsurance Ltd., certain investment funds managed by Kelso & Company and certain investment funds managed by Warburg Pincus LLC transferred all of the common shares of the Issuer owned by them to Greysbridge, and immediately thereafter all outstanding common shares of the Issuer were cancelled upon the merger of a subsidiary of Greysbridge with and into the Issuer, with the Issuer surviving as a wholly-owned subsidiary of Greysbridge.
