Item 7.01 Regulation FD Disclosure.
On July 14, 2008, Quest Resource Corporation (the “Company”) issued a press release announcing the closing of the purchase of privately held PetroEdge Resources (WV) LLC (“PetroEdge”) for approximately $142 million, subject to post-closing adjustments. PetroEdge owns approximately 78,000 net acres of natural gas and oil producing properties in the Appalachian Basin. Simultaneous with this closing, the Company sold natural gas and oil producing wells with estimated proved developed reserves of 32.9 Bcfe and all of the current net production to its subsidiary, Quest Energy Partners, L.P., for cash consideration of approximately $72 million, subject to post-closing adjustments.
