As previously disclosed, the company's revenue projections and earnings per share guidance for 2005 have been met or exceeded. Also as previously disclosed, the company received a notice of non- compliance from the staff of The Nasdaq Stock Market based upon the company's failure to timely file the Form 10-K as required by Nasdaq rules. The company has requested a hearing before a Nasdaq Listing Qualifications Panel, which has been scheduled for June 1, 2006. While the company believes that the filing of the Form 10-K will address the original basis for the staff notice, the Company believes it will be required to attend the hearing to present a plan for filing its Form 10-Q for the quarter ended March 31, 2006. In that regard, the Company does not expect to file the Form 10-Q by the May 15, 2006 deadline. The company believes that it meets all other requirements for continued listing; however, there can be no assurance that the Panel will grant the Company's request for continued listing.
