( 1)  Issued pursuant to the Advisory Services Agreement dated November 11, 2005 between ICO Global Communications (Holdings) Limited and Eagle River, Inc. for services provided by Eagle River, Inc. from September 1, 2010 to November 30, 2010.
( 2)  Closing price on December 1, 2010 as quoted on the Nasdaq Global Market.
( 3)  The Reporting Person is the sole shareholder of Eagle River, Inc.
( 4)  The Reporting Person is the sole manager and beneficial member of Eagle River Investments, LLC, which is the sole member of Eagle River Satellite Holdings, LLC ("ERS") and as such may be deemed to share the power to vote or to direct the vote, or to dispose or direct the disposition of, the Issuer's securities beneficially owned by ERS. The Reporting Person disclaims beneficial ownership of the Issuer's securities directly owned by ERS, except to the extent of any pecuninary interest.
( 5)  The Reporting Person is the beneficial member of Eagle River Partners, LLC, ("ERP") and as such may be deemed to share the power to vote or to direct the vote, or to dispose or direct the disposition of, the Issuer's securities beneficially owned by ERP.
